Beta Terms Addendum

This addendum applies only to beta participants. If you are not enrolled in the closed beta, the standard Terms of Service, Privacy Policy, Cookie Policy, and Disclaimer govern your use of Allocra without modification.

1. Introduction and scope

This Beta Terms Addendum (the "Addendum") supplements the Allocra Terms of Service (the "Main Terms") and applies to anyone who accepts an invitation to participate in Allocra's closed beta programme (the "Beta"). By accepting beta access — typically by clicking the activation link in the invitation email or otherwise affirmatively confirming participation — you agree to be bound by both the Main Terms and this Addendum.

In the event of any conflict between this Addendum and the Main Terms during the Beta Period (defined below), this Addendum prevails for beta participants. After the Beta Period ends, the Main Terms apply in full unless you have entered into another specific agreement with Allocra.

2. Beta Period

The Beta runs from 20 July 2026 to 17 August 2026 (the "Beta Period"). At our discretion, we may extend, shorten, or pause the Beta Period; we will notify active beta participants by email of any material change.

3. Eligibility and selection

Beta participation is offered to the first 100 individuals to register their interest via the early-access form on allocra.co, ranked by the time at which they completed email verification on their signup. Allocra reserves the right to decline or revoke beta access at our sole discretion, including for reasons relating to compliance, suitability, capacity, or behaviour.

To participate, you must be at least 18 years old, ordinarily resident in a jurisdiction in which the Services are not unlawful to access, and not currently subject to any sanctions or restrictions under UK or EU law.

4. What you receive during the Beta

  • Free, non-transferable, revocable access to the Allocra tools that are functional at the time of beta opening. The specific tool set may evolve during beta.
  • No subscription fees during the Beta Period.
  • Periodic communications about beta updates, known issues, and feedback prompts.
  • A guaranteed reservation for a Founders' tier subscription slot, held for 14 days after the end of the Beta Period — see §8.

5. What we ask from you

As a beta participant, you agree to:

  • Use the Services in accordance with the Acceptable Use clause of the Main Terms (Main Terms §7).
  • Provide reasonable feedback when invited — see §6.
  • Not publish screenshots, recordings, or descriptions of unfinished features, beta-only UI, or known issues outside private discussions with Allocra, without our prior written consent — see §7.
  • Promptly notify us of any material bug, security concern, or unexpected behaviour you encounter.
  • Refrain from using the Services to evaluate them on behalf of a competing product or service.

6. Material feedback

Beta participants who provide material feedback during the Beta Period qualify for the additional benefit set out in §9. Material feedback is defined as at least two substantive, actionable contributions, where each contribution is one of:

  • a bug report — a reproducible issue that includes the steps required to reproduce it;
  • a usability observation — a specific friction point, with sufficient context to be acted on; or
  • a feature suggestion — a proposed change with reasoning that articulates the user need.

Whether a contribution meets the bar of "substantive and actionable" is determined by Allocra in good faith, with the operative test being whether the contribution helped us improve the product. Allocra's determination is final.

Feedback should be submitted via the in-product feedback channel that is made available to beta participants. Feedback submitted by other means — for example, by email to hello@allocra.co — may also be considered at our discretion but is not guaranteed to count toward the §9 threshold.

7. Confidentiality

Until publicly released by Allocra, all non-public information about the Services that you become aware of through beta participation — including unreleased features, internal designs, performance characteristics, roadmaps, and known issues — is Allocra confidential information. You agree:

  • not to disclose Allocra confidential information to any third party other than your professional advisers operating under their own duty of confidence;
  • not to publish such information on any public-facing channel (including social media, blog posts, podcast appearances, press interviews, or public chat workspaces); and
  • to take reasonable steps to protect such information from accidental disclosure.

This confidentiality obligation continues for twelve (12) months after the end of the Beta Period.

8. Beta → Founders conversion

When the Beta Period ends, Allocra will invite each active beta participant to convert their account to a paid Founders' tier subscription. Conversion is processed through the standard Stripe Checkout flow used by public Founders' signups. Public Founders' availability opens on 18 August 2026.

Each beta participant has a guaranteed Founders' slot reservation that is held for fourteen (14) days after the end of the Beta Period (i.e. until 31 August 2026). After that date, the reservation lapses and the slot is released to public availability, which may sell out.

If you decline to convert, your account is not deleted: it transitions to a free, view-only state and your account data (preferences, saved analyses, and similar) is retained in line with the Privacy Policy retention schedule. You remain free to convert later, subject to availability and standard pricing applicable at that time.

9. Founders' lifetime price lock for material-feedback contributors

Beta participants who (a) provide material feedback as defined in §6 and (b) successfully convert to a Founders' tier subscription within the 14-day reservation window receive a lifetime price lock: the Founders' subscription price applicable at the time of conversion will not be increased for as long as your subscription remains active and continuous.

Important conditions:

  • Lapsing your subscription — for example, by cancelling, by failing to renew, or by failing to pay — terminates the lifetime price lock. If you re-subscribe later, you will pay the standard pricing applicable at that time.
  • Material feedback determination is at Allocra's good-faith discretion under §6. The decision is final.
  • Allocra may publicly recognise the founding cohort but will not name individual participants without their consent.
  • The price lock is the only binding economic commitment under this clause. No further compensation, royalty, or payment is owed by Allocra in respect of feedback contributed.

10. Feedback ownership

You retain whatever rights you have in any feedback you submit. By submitting feedback to Allocra, you grant Allocra a perpetual, irrevocable, worldwide, royalty-free, sub-licensable licence to use, reproduce, modify, and incorporate that feedback (in whole or in part, in original or derivative form) into the Services, marketing materials, and any other Allocra product or activity, without any obligation of attribution or compensation beyond what is set out in §9.

11. No warranty during the Beta

The Services during the Beta Period are provided strictly on an "as is" and "as available" basis. Without limiting the disclaimers in the Main Terms (§§11–12) and the Disclaimer page:

  • We do not commit to any service level, uptime target, or response time during beta.
  • Outputs from the tools during beta may be incomplete, incorrect, or affected by data feed issues that have not yet been resolved.
  • We may modify, withdraw, or replace features at any time during the Beta Period without notice.
  • We do not commit to retaining any specific data submitted during beta beyond the operational minimum required for the Services to function.

You expressly acknowledge that no beta output should be relied upon as the sole basis for any financial decision and that the disclaimers on the Disclaimer page apply with full force during beta.

12. Termination and revocation

You may stop using the Services and withdraw from the Beta at any time by emailing hello@allocra.co.

Allocra may suspend or terminate your beta access at any time, with or without notice, including (but not limited to) for:

  • breach of the Main Terms or this Addendum;
  • behaviour that is harmful to other users, to Allocra, or to the integrity of the Services;
  • compliance, legal, regulatory, or security reasons; or
  • any other reason at our discretion.

Termination of beta access ends your participation in §6's material-feedback gate and §9's lifetime price lock benefit, regardless of contributions you had made up to that point.

13. After the Beta Period

After 17 August 2026, beta access ends. Your account moves into one of three states based on the choice you make during the conversion window:

  • Converted to Founders' tier — paid subscription begins, full access continues, the benefits in §§8 and 9 apply where eligible.
  • Did not convert during the 14-day window — account moves to a free, view-only state; the Founders' reservation lapses; you may convert later at standard pricing if availability allows.
  • Withdrew during beta — account closed at your request, data retained per the Privacy Policy retention schedule.

We will email you ahead of each transition to remind you what is happening and what your options are.

14. Relationship to the Main Terms and other policies

This Addendum is supplementary to the Main Terms of Service, the Privacy Policy, the Cookie Policy, and the Disclaimer. All those documents continue to apply during the Beta Period unless this Addendum specifically overrides a particular point.

Where this Addendum is silent, the Main Terms apply.

15. Changes to this Addendum

We may update this Addendum from time to time during the Beta Period. Material changes will be communicated by email to active beta participants. Your continued use of the Services after a material change indicates acceptance of the updated Addendum.

16. Governing law and contact

This Addendum is governed by the laws of England and Wales, in line with §16 of the Main Terms. Any dispute arising out of or in connection with this Addendum is subject to the same jurisdiction provisions as the Main Terms.
